Terms of Service

These terms cover your use of Workzo's website, documentation platform, and the features we build around them.

Interpretation and Definitions

The following terms apply throughout these Terms of Service:

  • Company, Workzo, we, us, and our mean Workzo, 137 Glasgow St, Kitchener, Ontario N2M 5E3, Canada.
  • Service means the Workzo website and platform available at workzo.ca.
  • You means the individual using the Service or the organization on whose behalf that individual uses it.
  • Content means documents, data, messages, files, integrations, and other material that you or your organization submit to, create in, or make available through the Service.
  • Third-party service means a service, product, content, or integration made available by a party other than Workzo.

Acceptance of Terms

Please read these Terms carefully. When you create an account, you must affirmatively accept these Terms and acknowledge our Privacy Policy. By otherwise accessing or using Workzo, you agree to be bound by these Terms. If you do not agree, do not use the Service. You represent that you are at least 18 years old. Our Privacy Policy and Cookie Policy explain our handling of personal information; privacy choices that require separate consent are not bundled into acceptance of these Terms.

Our Services

Workzo, located at 137 Glasgow St, Kitchener, Ontario N2M 5E3, Canada, provides a web-based documentation platform at https://workzo.ca that helps teams capture, organize, and share knowledge. We provide the software; the content your team creates and how you use it remain your responsibility. We may modify, suspend, or discontinue features, subject to applicable law and any commitments in a paid order.

User Accounts

You are responsible for providing accurate account information, maintaining the confidentiality of your credentials, and all activity under your account. You must promptly tell us if you suspect unauthorized access. If you use the Service for an organization, you represent that you have authority to accept these Terms for that organization and bind it to them. You must be at least 18 years old to use Workzo.

User Conduct

You agree not to:

  • Use the platform for any unlawful purpose
  • Post false, misleading, or fraudulent content
  • Upload content that infringes the rights of others
  • Harass, threaten, or abuse other users
  • Attempt to reverse-engineer or interfere with the platform

Intellectual Property

Workzo and its licensors own the Service, including its software, design, branding, features, and functionality, which are protected by applicable intellectual property laws. As between you and Workzo, you retain ownership of your Content. You grant Workzo a limited, worldwide, non-exclusive right to host, reproduce, process, transmit, and display your Content only as necessary to provide, secure, support, and improve the Service and to comply with law.

Privacy and Customer Content

Workzo handles personal information as described in our Privacy Policy and applicable Canadian privacy law, including PIPEDA where it applies. If you upload or connect Content containing another person's personal information, you are responsible for having lawful authority and providing any notice or choice required for that use. You must not use Workzo to collect excessive or unlawfully obtained personal information. Workzo processes your Content only to provide, secure, support, and improve the Service, follow your authorized actions, and comply with law.

Payments and Fees

Workzo does not currently process payments through the Service. If paid subscriptions are introduced, the applicable fees, billing terms, renewal terms, cancellation terms, and payment processor will be disclosed before you subscribe, and we will update these Terms and our Privacy Policy as appropriate.

Termination

We may suspend or terminate your access immediately if you breach these Terms, create risk or possible legal exposure, or where otherwise permitted by law. You may request account closure at any time through Workzo support. Upon termination, your right to use the Service ends, but provisions that by their nature should survive will remain in effect.

Third-Party Services

The Service may contain links to or integrations with third-party websites, content, or services that Workzo does not own or control. We do not endorse and are not responsible for their availability, content, security, terms, or privacy practices. Your use of a third-party service is governed by that provider's terms and policies.

Availability and Changes

We aim to provide a reliable Service, but do not guarantee that it will always be available, uninterrupted, timely, secure, or error-free. We may modify, suspend, or discontinue all or part of the Service, including a feature or integration, where reasonably necessary to operate, maintain, secure, or improve the Service or comply with law.

Disclaimer of Warranties

To the maximum extent permitted by law, Workzo is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, error-free, or free of harmful components, or that content stored on the Service is accurate, complete, or fit for a particular purpose. Some jurisdictions do not allow certain exclusions, so some of these exclusions may not apply to you.

Limitation of Liability

To the maximum extent permitted by law, Workzo and its affiliates, suppliers, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, or business interruption arising from the Service or these Terms. Workzo's total liability for all claims will not exceed the greater of the amount you paid Workzo for the Service during the 12 months before the event giving rise to the claim or CAD $100. These limits do not apply where liability cannot legally be limited.

Governing Law and Disputes

These Terms and your use of the Service are governed by the laws of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-law rules. Before starting formal proceedings, you agree to contact us and try to resolve the dispute informally. Nothing in these Terms limits mandatory consumer rights or your right to bring a claim in a court that has jurisdiction under applicable law.

European Union Users

If you are a consumer in the European Union, United Kingdom, or another jurisdiction with mandatory consumer protections, you retain the benefit of provisions of local law that cannot lawfully be excluded by these Terms.

Severability and Waiver

If any provision is held invalid or unenforceable, it will be limited or modified to the minimum extent necessary and the remaining provisions will remain in effect. A failure to enforce any provision is not a waiver of that provision or any later breach.

Entire Agreement and Interpretation

These Terms, together with any applicable order, Privacy Policy, Cookie Policy, and documents expressly incorporated by reference, form the entire agreement between you and Workzo about the Service. If we provide a translation, the English-language version controls to the extent permitted by law.

Changes to These Terms

We may update these Terms from time to time. If a change is material, we will make reasonable efforts to provide at least 30 days' notice before it takes effect and will request renewed acceptance where required. A change to how we handle personal information is governed by the notice and consent commitments in our Privacy Policy. By continuing to use the Service after other updated Terms take effect, you accept them; if you do not agree, you must stop using the Service.
